1. Acceptance of Terms

By affirmatively indicating your agreement (by checking the acceptance box or clicking "I Agree"), you enter into a legally binding contract with Loan Quote Depot ("Company," "we," "us," or "our") governing your use of our loan quote generation platform ("Service"). These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Loan Quote Depot. If you do not agree to these Terms in their entirety, you are not authorized to use the Service.

2. Description of Service

Loan Quote Depot provides a web-based platform that enables licensed mortgage professionals to:

• Generate professional loan quotes and rate comparisons
• Send quotes to customers via email using your Gmail account
• Manage customer lead information and quote history
• Customize email signatures and branding

3. User Eligibility and Account Requirements

To use our Service, you must:

• Be a licensed mortgage loan officer or authorized representative
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Have a Google/Gmail account for email integration

4. Gmail Integration and Permissions

By granting our application access to your Gmail account, you understand that:

• We will only use the "gmail.send" permission to send emails on your behalf
• We will never read, modify, or delete your existing emails
• You can revoke Gmail permissions at any time through your Google account settings
• You are responsible for all emails sent through our platform using your account

5. Automated Email Sequences

Our platform offers an optional automated email sequence feature. By enabling this feature, you agree that:

• Automated follow-up emails will be sent from your Gmail account based on templates you create
• Sequences are triggered only when you send a quote through our platform
• You are responsible for the content and timing of all automated emails
• You must comply with all applicable email marketing laws (CAN-SPAM, etc.)
• You can pause, modify, or cancel active sequences at any time
• This feature is disabled by default and requires explicit opt-in

6. SMS & Messaging Compliance

CRITICAL: You are solely responsible for compliance with all applicable messaging laws, including the Telephone Consumer Protection Act (TCPA), as amended effective January 26, 2026.

By using any SMS or messaging features of our Service, you expressly acknowledge and agree that:

• Your Consent Obligation: You must obtain prior express written consent from each recipient before sending any SMS, MMS, or automated text messages. This consent must be specific to you and cannot be transferred or shared ("one-to-one consent" rule per 2026 TCPA amendments).
• Platform Provider Role: Loan Quote Depot provides technology infrastructure only. We are not the sender, initiator, or originator of your messages. You are the sender and sole party responsible for message content, timing, and recipient consent.
• TCPA Compliance: You will comply with all TCPA requirements, including obtaining proper consent, honoring opt-out requests through any reasonable means (not just "STOP"), maintaining do-not-call lists, and respecting quiet hours.
• Prohibited Conduct: You will not send unsolicited messages, use the Service to violate any telemarketing or anti-spam laws, or send messages to recipients who have not provided legally valid consent directly to you.
• Third-Party Leads: If you purchase or obtain leads from third parties, you are solely responsible for verifying that proper TCPA consent exists and is legally transferable to you.
• Carrier Rules: You will comply with all mobile carrier rules and requirements, including registration, content standards, and carrier-specific opt-out mechanisms.

Violation of these terms may result in immediate account suspension or termination, and you will be liable for all damages, fines, and legal costs arising from your non-compliance.

7. User Responsibilities and Conduct

You agree to:

• Comply with all applicable federal, state, and local laws and regulations
• Follow TRID, RESPA, and other mortgage lending compliance requirements
• Provide accurate loan information and rates to customers
• Maintain professional conduct in all communications
• Not use the Service for fraudulent or misleading purposes
• Not share your account access with unauthorized individuals

8. Prohibited Uses

You may not use our Service to:

• Send unsolicited or spam emails
• Violate any laws or regulations related to mortgage lending
• Impersonate another person or entity
• Distribute malware or harmful code
• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or harvest data

9. Data Accuracy and Disclaimers

While we strive to provide accurate rate information and calculations, you acknowledge that:

• You are responsible for verifying all rate and loan information before sending to customers
• Rates and terms are subject to change and final approval
• Our Service is a tool to assist with quote generation, not a guarantee of loan approval
• You must comply with all disclosure and accuracy requirements in your jurisdiction

10. Intellectual Property

The Service, including all software, content, and materials, is owned by Loan Quote Depot and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary software or content
• Reverse engineer or attempt to extract source code
• Use our trademarks or branding without permission
• Create derivative works based on our platform

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Service Availability

We strive to maintain high availability but cannot guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

13. Limitation of Liability

To the fullest extent permitted by law, Loan Quote Depot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption.

14. Indemnification

You agree to defend, indemnify, and hold harmless Loan Quote Depot, its officers, directors, employees, agents, affiliates, and service providers (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or relating to:

• Your use of the Service or any messages, emails, or communications sent through the Service;
• Your failure to obtain legally required consent from message recipients;
• Your violation of the TCPA, CAN-SPAM Act, state telemarketing laws, mobile carrier rules, or any other applicable communications laws or regulations;
• Your use of third-party lead sources or data that violates consent requirements;
• Your breach of these Terms of Service or any representation or warranty contained herein;
• Your violation of any rights of a third party, including privacy rights or intellectual property rights;
• Any negligent or willful misconduct by you or anyone acting on your behalf.

This indemnification obligation includes claims based solely on allegations, even if ultimately determined to be without merit. You agree to reimburse Indemnified Parties for all defense costs incurred, including attorneys' fees, on a monthly basis. This indemnification survives termination of your account or these Terms.

At our sole discretion, we may assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with us in asserting any available defenses.

15. Account Termination

We may terminate or suspend your account immediately if you violate these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes indicates acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Texas, and you hereby consent to personal jurisdiction and venue therein.
